EULA - End User License Agreement

IMPORTANT - READ CAREFULLY BEFORE USING SOFTWARE
Pioneer Analytics LLC, License Agreement

Do not use the software accompanying this Agreement (the “Software”) until you have carefully read the following Agreement. If you do not agree with the terms and conditions of this Agreement promptly remove this Software and other accompanying (related) materials from your computer. This Agreement sets forth the terms and conditions for licensing of the Software from PIONEER ANALYTICS LLC (“Licensor”). The agreement is covered by the laws of the State of Virginia, except as to copyright matters, which are covered by Federal laws.

1. SOFTWARE. The Software and accompanying materials consist of: a) the computer program known as INCOMEMAX and b) all related printed and electronic documentation created to support or enhance user operation of the Software. The Software can only be used with Microsoft EXCEL, a Microsoft Corporation product, which is not provided nor supported by the Licensor.

The Software and related materials are owned and copyrighted by the Licensor. The Software is licensed for operation and not sold, and therefore the Licensor retains all rights, title and interest in the Software and accompanying materials. You acknowledge that you have only the limited and non-exclusive right to use and copy the Software as expressly stated in this Agreement.

2. TERMS OF LICENSE. The Software and accompanying materials are protected by copyright laws. Unauthorized use of the Software and related materials is therefore prohibited. The Software contains trade secrets, and in order to protect them you may not decompile, reverse engineer, disassemble, or otherwise reduce the Software to human perceivable form. You may not modify, adapt, translate, rent, sublicense, assign, lease, loan, or resell for profit the Software and accompanying materials or create derivative works based upon the Software or any part thereof. Subject to these restrictions, you are granted a non-exclusive license to use one copy of the fully functional version of the Software and create one back-up copy for use only on a single computer and a single terminal. You may not give copies to another person, or duplicate the Software by any other means, including electronic transmission.

If you acquired this license through access to the demonstration version of the Software, then you may use this Software version for free. However to upgrade your copy to a fully functional version of the Software you must pay a license fee of $149.95. If you desire separate installation and use of the fully functional version of the Software on different terminals or computers, you must obtain a separate license for each such instance and pay the accompanying fee stated above. Each license is subject to the provisions stated in this Agreement.

You may give exact copies of the demonstration version of the Software and/or accompanying user manual to others. However you may not charge any fee for this transaction. Any recipient of the Software and/or manual will also be bound by the terms of this Agreement. You must therefore distribute a copy of this Agreement to any such recipient. Your distribution of the demonstration version of the Software and/or manual will not entitle you to any compensation from the Licensor.

3. NO WARRANTIES. To the extent permitted by applicable law, the Software and any support services are provided “AS IS” without warranty of any kind, either express or implied, including without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The user assumes all responsibilities and consequences in operating the program for desired purposes. This includes installation. choosing options and obtaining results.

4. LIMITATION OF DAMAGES. LICENSOR WILL NOT BE LIABLE FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY USE OF THIS SOFTWARE OR ACCOMPANYING DOCUMENTATION, WHETHER FULLY FUNCTIONAL OR DEFECTIVE, INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION AND THE LIKE. LICENSOR’S TOTAL LIABILITY TO YOU FOR ACTUAL DAMAGES FOR ANY CAUSE WHATSOEVER WILL BE LIMITED TO THE AMOUNT PAID BY YOU FOR THIS PRODUCT.

5. MISCELLANEOUS. You acknowledge that, in providing you with the Software, Licensor has relied upon your agreement to be bound by the terms of this Agreement. You further acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement, and hereby reaffirm your acceptance of those terms. You further acknowledge that this Agreement constitutes the complete statement of the agreement between you and Licensor, and that the Agreement does not include any other prior or contemporaneous promises, representations, or descriptions regarding the Software. This Agreement is not, however to limit any rights that Licensor may have under trade secret, copyright, patent, or other laws that may be available to it. The agents, employees, distributors, and dealers of Licensor are not authorized to make modifications to this Agreement, or to make any additional representations, commitments, or warranties binding on Licensor. Accordingly, additional statements such as dealer or other advertising or presentations, whether oral or written, do not constitute representations or warranties by Licensor and should not be relied upon. If any provision of this Agreement is invalid or unenforceable under applicable law, it is to that extent, deemed omitted and the remaining provisions will continue in full force and effect. This Agreement shall be construed as to its fair meaning and not strictly for or against either party.
